Terms of Service

The short version: By using WARDKEY, you agree to these terms. You own your data. We provide a tool to help you manage it securely. Use it responsibly.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the WARDKEY password manager application, browser extension, website, and related services (collectively, the "Service") provided by WARDKEY ("we," "us," "our"), located at 444 Alaska Avenue, Suite #AHA780, Torrance, CA 90503, USA.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

  • You must be at least 16 years old to use the Service
  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • One person or entity may not maintain more than one free account

3. Description of Service

WARDKEY is a password manager with zero-knowledge vault encryption that helps you securely store and manage passwords, payment cards, secure notes, TOTP keys, API keys, software licenses, passkeys, and other sensitive data. Key features include:

  • Local-first storage: Your vault is encrypted and stored on your device by default
  • Optional cloud sync: Encrypted vault data can be synced across devices via our servers
  • Browser extension: Autofill and save credentials on websites
  • Password generator: Create strong, unique passwords
  • TOTP authenticator: Store and generate time-based one-time password codes
  • Security Monitor: Identify weak, reused, or old passwords
  • Breach scanner: Check your passwords against the Have I Been Pwned database using k-anonymity (only partial password hashes are sent)
  • Secure sharing: Share credentials via time-limited, view-limited encrypted links. Encryption keys are embedded in the URL fragment and never sent to our servers
  • Emergency access: Designate trusted contacts who can request access to your vault with a configurable waiting period
  • Import/Export: Import from other password managers (LastPass, 1Password, Bitwarden, Chrome) and export your vault data
  • AI-enhanced analysis (optional): Password Analyzer and Security Report powered by Anthropic's Claude AI send anonymized vault metadata (never passwords) to our servers. The Phishing Detector sends user-provided content (text or URLs you paste) for analysis

4. Your Responsibilities

4.1 Master Password

You are solely responsible for your master password. Due to our zero-knowledge vault encryption:

  • We cannot recover, reset, or access your master password
  • We cannot decrypt your vault if you forget your master password
  • You should store your master password securely and maintain a backup recovery method
  • Loss of your master password may result in permanent loss of access to your encrypted data

4.2 Account Security

You agree to:

  • Keep your account credentials confidential
  • Notify us immediately of any unauthorized access to your account
  • Not share your account with others
  • Use a strong, unique master password that you do not use for any other service

4.3 Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or to store illegal content
  • Attempt to gain unauthorized access to our systems, other users' accounts, or data
  • Reverse engineer, decompile, or disassemble any part of the Service (except as permitted by applicable law)
  • Use automated tools to scrape, crawl, or stress-test the Service
  • Resell, redistribute, or sublicense the Service without our written consent
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload malicious code or content through the Service
  • Use the Service to facilitate phishing, spam, or social engineering attacks
  • Circumvent usage limits, rate limits, or storage limits

5. Plans and Pricing

5.1 Launch Period

During our launch period, all features — including those normally reserved for the Pro plan — are available to all users at no cost. The launch period will end when we publicly announce the transition to standard pricing. We will provide at least 30 days' notice before the launch period ends. After the launch period, accounts will transition to the Free or Pro plan based on the terms below.

5.2 Free Plan

After the launch period, the free plan includes core password management features with the following limits:

  • Vault storage limit of 10 MB (encrypted)
  • Single device cloud sync
  • 3 AI analyses per day
  • 5 active share links
  • Standard features as described on our website

5.3 Pro Plan

The Pro plan is priced at $1.49/month or $14.99/year (subject to change with 30 days' notice). It includes:

  • Vault storage limit of 1 GB (encrypted)
  • Multi-device cloud sync
  • Priority support
  • Additional features as described on our pricing page

5.4 Payment Terms

  • Pro plan subscriptions are billed on a recurring basis (monthly or annually)
  • All prices are in USD unless otherwise stated
  • You authorize us to charge your payment method on each renewal date
  • We may change pricing with 30 days' notice; existing subscriptions continue at their current rate until renewal

5.5 Refund Policy

  • We offer a 30-day money-back guarantee on all new Pro plan subscriptions
  • If you are not satisfied within 30 days of your initial purchase, contact us at wardkey047@gmail.com for a full refund
  • Refund requests after 30 days will be reviewed on a case-by-case basis
  • Refunds are issued to the original payment method within 5–10 business days

5.6 Cancellation

  • You may cancel your Pro subscription at any time
  • Cancellation takes effect at the end of the current billing period
  • Upon cancellation, your account reverts to the free plan
  • Your data remains accessible; however, if your vault exceeds the free plan storage limit, you will need to reduce it or resubscribe to continue syncing

6. Intellectual Property

6.1 Our Property

The Service, including its code, design, logos, trademarks, and documentation, is owned by WARDKEY and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without written permission.

6.2 Your Data

You own your data. We do not claim any ownership rights over the content you store in your vault. You grant us a limited license solely to store and transmit your encrypted data as necessary to provide the Service.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

8. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted access
  • We may perform scheduled maintenance with reasonable advance notice
  • We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control
  • The local-first design ensures your vault remains accessible on your device even when our servers are unavailable

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet all of your requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any defects in the Service will be corrected

You acknowledge that no security system is impenetrable. While we employ industry-standard encryption and security practices, we cannot guarantee absolute security against all possible threats.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WARDKEY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, data, use, goodwill, or other intangible losses
  • The cost of procurement of substitute services
  • Any unauthorized access to or alteration of your transmissions or data

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless WARDKEY and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content you store or transmit through the Service

12. Termination

12.1 By You

You may stop using the Service and delete your account at any time. Upon account deletion:

  • Your cloud-stored encrypted vault will be permanently deleted
  • Your local vault on your device(s) will remain unless you manually remove it
  • Any active Pro subscription will be canceled (no refund for partial periods unless within the 30-day guarantee)

12.2 By Us

We may suspend or terminate your access to the Service if:

  • You violate these Terms
  • Your account is used for illegal activities
  • Your use poses a security risk to the Service or other users
  • Required by law or regulation

We will make reasonable efforts to notify you before termination, unless doing so would compromise security or violate legal requirements. Upon termination, you may request an export of your encrypted vault data.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at wardkey047@gmail.com and attempt to resolve the dispute informally for at least 30 days.

13.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.3 Arbitration

Any disputes that cannot be resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

13.4 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

13.5 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief in court for matters related to intellectual property rights or unauthorized access to the Service.

14. Changes to Terms

We may modify these Terms from time to time. We will provide notice of material changes by:

  • Updating the "Last updated" date at the top of this page
  • Sending an email notification for significant changes
  • Displaying a notice within the application

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you disagree with the changes, you should stop using the Service and delete your account.

15. General Provisions

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force
  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and WARDKEY regarding the Service
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right
  • Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights under these Terms without restriction
  • Force majeure: We are not liable for failures to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, government actions, or internet outages
